Jel is the fun collaboration tool that lets you collaborate and communicate as avatars.
These Terms of Service explain your rights and responsibilities when using Jel.
The Jel Privacy Notice covers how we handle your data when using Jel.
Jel lets people communicate and share data with one another, such as audio, video, text, images, and models.
By using Jel, you agree to grant us all rights necessary to operate Jel. This includes, but is not limited to, a license and permission to process, transmit, and display the information you send through Jel. It also includes permission to gather and share information as we describe in the Privacy Notice for Jel.
You retain all rights to the content you send to Jel. You grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, prepare derivative works from, distribute, perform, and display that information, text, audio, video, images, drawing, or 3D model for the purpose of operating Jel.
You also represent and warrant that you have the authority to grant us all rights and permissions necessary for the operation of Jel.
If you provide ideas, suggestions, or feedback to us, that feedback is voluntary and you agree we may use it without compensation or obligation to you or any other party.
You are solely responsible for the information you send, create, or modify with Jel, and the consequences of sending, creating, or modifying that information.
By using Jel you agree to not:
- Do anything illegal or violate the law
- Threaten or harass other users
- Send spam through the service
- Harm or attack other users via malware, viruses, etc.
- Defraud, phish, or commit identity theft
- Exploit or harm children
- Violate laws regarding speech, such as inciting imminent violence against an individual
- Engage in illegal commerce such as transactions regarding controlled substances
- Harvest personal information without permission
- Engage in interfering or disrupting Jel's products, services, or infrastructure
- Violate copyright, trademark, patent, or other intellectual property rights
- Sell or resell Jel products or services
We reserve the right to remove content, suspend users, and terminate service given reasonable suspicion any of these Terms are violated.
We do not grant you any intellectual property rights unless these Terms specifically state otherwise. You are not, for example, granted the right to use any Jel copyrights, trade names, trademarks, service marks, logos, domain names, or other distinctive branding.
Parts of Jel's source code are covered by an open source license. (https://www.mozilla.org/en-US/MPL/) To comply with the license, we have shared up-to-date versions of the covered source code here: https://github.com/jel-app/jel-mpl
Jel is under continous development and will be upgraded over time. During upgrades, the service may be temporarily suspended and we may not be able to give notice. You will not be entitled to claim expenses or damages when the service is suspended or limited.
The Terms specified here apply to all use of Jel and will apply until ended by either you or upon notice from us. You can end your obligation to these Terms at any time by ending your use of Jel.
We may remove access to Jel at any time, for any duration, for any reason. For example, reasons we may do so include but are not limited to if we believe you have violated these Terms, or if we believe you create risk or legal exposure, or we decide we no longer want to provide or operate Jel. We will take reasonable steps to notify you in Jel when this occurs.
In all such cases when we remove access, these Terms shall terminate, including, without limitation, your license to use Jel, except that the "Indemnification" and "Disclaimer and Limitation of Liability" sections of these Terms will continue to apply.
You agree to defend, indemnify and hold harmless Minddrop LLC, and its respective parent and affiliate companies, contractors, contributors, licensors, partners, directors, officers, employees and agents ("Indemnified Parties") from and against any and all third party claims and expenses, including attorneys' fees, arising out of or related to your use of Jel. This includes, but is not limited to, claims and expenses from any content you transmit, edit, or create using Jel.
THE SERVICES ARE PROVIDED "AS IS" WITH ALL FAULTS. TO THE EXTENT PERMITTED BY LAW, THE INDEMNIFIED PARTIES, HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES THAT THE SERVICES ARE FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE, AND NON-INFRINGING.
YOU BEAR THE ENTIRE RISK AS TO SELECTING THE SERVICES FOR YOUR PURPOSES AND AS TO THE QUALITY AND PERFORMANCE OF THE SERVICES, INCLUDING WITHOUT LIMITATION THE RISK THAT YOUR CONTENT IS DELETED OR CORRUPTED. THIS LIMITATION WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.
EXCEPT AS REQUIRED BY LAW, THE INDEMNIFIED PARTIES, WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING WITHOUT LIMITATION DIRECT AND INDIRECT DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS, LOSS OF DATA, AND COMPUTER FAILURE OR MALFUNCTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH SUCH CLAIM IS BASED. THE COLLECTIVE LIABILITY OF THE INDEMNIFIED PARTIES, UNDER THIS AGREEMENT WILL NOT EXCEED $500 (FIVE HUNDRED DOLLARS). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT APPLY TO YOU.
These terms may be updated over time. We will post the latest Terms online. For larger changes, we may notify you using channels such as email or in-app notifications.
Your continued use of Jel after the new Terms constitutes your acceptance of the new Terms. To help you understand these changes, we will maintain an effective date at the top of the Terms.
These Terms make up the entire agreement between you and us regarding Jel. The laws of the state of California, U.S.A (excluding its conflict of law provisions) govern this agreement.
If any part of these Terms is determined to be invalid or unenforcable, the parts are not determined to be invalid or unenforcable will remain in full force & effect.
